Vedanta and Cairn India to Merge in a Deal Worth 23 Billion

first_imgIndian mining and energy group Vedanta Ltd made a $2.3 billion offer on Sunday to buy out minority shareholders in cash-rich oil unit Cairn India, a deal that helps parent Vedanta Resources Plc repay hefty debts.Shareholders in Cairn India, India’s top private sector oil producer, will get one share in Vedanta Ltd for every share held, the companies said in a joint statement on Sunday.The shareholders will also get one redeemable preference share in Vedanta Ltd with a face value of 10 rupees, making the deal worth roughly $2.3 billion. That implies a premium of 7.3 percent to Cairn’s Friday close and a ratio of 1.04 for 1, marginally better than expectations of a simple 1 for 1 swap.Vedanta began simplifying its complex structure with a 2012 overhaul, but further moves to clean up the group and buy out minorities in its cash generating units have long been awaited by the market. Cairn India has a roughly $2.6 billion cash pile.The deal, expected to close in the first quarter of 2016, is the first major structural change under Vedanta Ltd Chief Executive Tom Albanese, the former Rio Tinto boss appointed last year. He said the deal moved Vedanta closer to its goal of being a major diversified player.Though long-expected, the timing of the Cairn buyout is likely to have been triggered by a sharp drop in Cairn India’s stock as oil prices fell, making for a favourable merger ratio for Vedanta. Cairn India shares have dropped over 50 percent over the past year.MORE TO COMEVedanta Resource Plc, controlled by one-time scrap metal dealer Anil Agarwal, currently holds a majority interest in Mumbai-listed operating unit Vedanta Ltd, which in turn holds a 59.88 percent stake in Cairn India.But Vedanta Ltd also holds other assets, including about 65 percent in Hindustan Zinc, whose minorities are likely to be the next target of the group’s clean-up effort, and aluminium producer BALCO, in which it has a 51 percent stake.Both companies count the Indian government as minority shareholders, limiting Vedanta’s ability to move.”We would look forward to participate in what would likely be an auction at that point in time,” Albanese said on Sunday.Cairn, which in March said it would cut spending by about 60 percent for the fiscal year starting April 1, said those plans, closely watched by India’s government, would be unchanged.Vedanta is also currently contesting a $3.3 billion tax claim from the tax authorities in relation to Cairn India’s 2007 listing. That liability and a $1.2 billion inter-company loan advanced by Cairn India to its parent last year were factored into the deal, Vedanta Chief Financial Officer DD Jalan said.The deal will now have to be approved by regulators but also, under new rules in India, by a majority of the companies’ minority shareholders. LT expects defence orders worth Rs 50000 crore in 3 years

first_imgEngineering and construction conglomerate Larsen & Toubro is expecting to bag defence contracts worth Rs. 21,000 crore for the financial year 2016-17. The company also hopes the order amount to grow to Rs. 50,000 crore by 2019.The company, which also has businesses in the finance and information technology sectors, is expecting orders in four areas of defence: guns and armoured vehicles, submarines, communications and ships, Mint reports.”We are chasing a market of over Rs. 80,000 crore, and we are hopeful that we will secure at least Rs. 50,000 crore worth of orders,” Jayant Patil, senior VP and head of Defence and Aerospace, said in an interview to CNBC-TV18.In terms of revenue inflows for the company, Patil said: “This year we expect some sizeable orders, at least crossing $3 billion, we should be booking in the year that begins April 1. So, the next financial year, we see at least close to Rs. 20,000-21,000 crore coming in. That should actually get us sizeable revenues.”Patil also said the BJP government had cleared defence orders worth Rs. 2.4 lakh crore in the last two years.Finance Minister Arun Jaitley hiked the country’s defence budget to Rs. 2.58 lakh crore for the 2016-17 fiscal. The move could give a sturdy competition to their rival Amazon.According to the sources close to the matter, the deal could be finalised by March this year. Key officials from both Walmart and Flipkart held a meeting last week in Bengaluru, on the same matter, the Economic Times reported.IBTimes could not independently verify the report and the officials of Walmart and Flipkart have not given any confirmation on the matter.A spokesperson of Walmart, however, told Economic Times that as per the company policy they do not comment on rumours or speculations.However, if the deal fructifies, it will reinforce Flipkart’s cash pile and help it compete with its biggest rival Amazon. This is the third time within a span of eight days the country has carried out a missile launch, according to reports.Two short-ranged projectiles were fired early Friday from Yonghung, South Hamgyong Province into the East Sea, the South Korean Joint Chiefs of Staff (JCS) told Yonhap news agency.”We are monitoring the situation in case of additional launches and maintaining a readiness posture,” the Joint Chiefs said, reported BloombergJapan has said the launches have not threatened its national security as it didn’t enter its exclusive economic zone.Last week, North Korean leader Kim Jong Un personally watched the testing of two short-range ballistic missiles. The projectile flew 600 kilometres and as high as 50 kilometres before landing in the sea. The launch had increased tensions in the Korean peninsula. Close On Wednesday, it conducted the test of a new multiple rocket launcher. The JCS assessed the military activity and said the missiles flew about 250 kilometres. It is reported that the range is enough to cover the South Korean capital and a major US military base in Yongsan District’s Seoul.The increasing aggression projected by North Korea is seen as a warning against South Korea importing weapons including the latest F-35 stealth fighters and conducting joint military drills with the US. Refugee children vulnerable distressed

ReutersThe government and development agencies have no information on over half the child refugees entering Bangladesh from Myanmar in recent times. Around 240,000 children have entered Bangladesh this time, but not all of them are being registered. The persons and agencies working with children there, say that these children will face even further hazards if they are not registered.With support from the United National High Commissioner for Refugees (UNHCR), Bangladesh government is registering the refugees coming in from Myanmar. However, children under 12 years of age are not eligible for biometric registration as their fingerprints change. Without registration, their rights cannot even be ensured.Teacher of Dhaka University’s disaster management department Gowher Naim Wara yesterday, Monday, told Prothom Alo that the UN charter for children lists the right to birth registration as the first right of every child. That is an acknowledgement of the child’s existence. Without registration, the child is lost in the masses. Such children can be easily forced in child labour or child marriage, can face sexual abuse or trafficking. Wara said, fingerprints cannot be an excuse not to register the children.It has been a month since the Rohingyas were attacked and driven out of the Rakhine state, to flee into Bangladesh. Yet yesterday children were seen at the refugee camps, waiting in long queues for relief, bringing water from far, wandering around without guardians, begging, and sitting by the roads in hope of relief. Most of them were scantily dressed and barefoot. Many of the children have reportedly been subject to sexual abuse.In a UNICEF report on the condition of the refugee children, it was said that the Rohingya refugee children were situated in Cox’s Bazar, the district with the most backward indicators for child rights in Bangladesh.Immigration expert Asif Munir told Prothom Alo, the government can instruct the organisations providing health care to the children, to include the names of the children, their parents’ names, their address in Myanmar and the address of the camp where they reside at present, on the immunisation or health cards. ReutersThe state of childrenThe United Nations Children’s Fund (UNICEF) on 23 September finalised a report on the state of children. A survey was run of the 128,000 refugees in five temporary camps and the newly formed camps. A total of 57 per cent of this refugee population were children. Of them, 9 per cent were one-year-old and 23 per cent below the age of five. And 28 per cent of them were between 6 and 18 years old. UNICEF has identified 512 children who have no guardians. Another 167,040 remain unidentified, with no information about their names, ages, parents, addresses in camps here or back in Myanmar.Those working in the refugee camps are reeling under the tough challenge of tending to the refugees, particularly as a burgeoning number of them are children. Children have a variety of requirement. A Myanmar government health and demographic survey of 2015-16 reveals that the Rakhine state has the highest number of children suffering from extreme malnutrition. And this is worst in Buthidong and Maungdaw, the two areas which came under army attack. A large number of the children entering Bangladesh are severely undernourished and have not been immunised.At the initiative of the government, UNICEF and WHO, 100,000 children of the 5 to 15-year-old age bracket arriving in Bangladesh, have been vaccinated against measles and rubella. And 19,795 have been administered polio vaccines.Children unprotectedBRAC is working with children at a field level. The organisation’s emergency response expert Mahmud Hossain said, many of the children entering Bangladesh, like the women, were sexually abused in Myanmar. The temporary camps are very unsafe, particularly the recent camps at Kutupalong and Balukhali. Three sisters, who lost their parents in the violence in Myanmar, have been sexually abused in the camp where they are living at present. There are over 2000 such allegations till now, but the number is likely to be much higher as not many want to speak out about sexual harassment.It is the parentless children who are the most vulnerable. The prime minister’s office recently issued 20 directives regarding the Rohingya issue. One of them was to run a survey on orphaned children. This survey so far has found 570 such children in Ukhia and Teknaf. However, officials of the social welfare department were unwilling to say what will be done with these children and whether they would be provided with any special protection.last_img

Rohingyas still coming 32 enter in 7 days

ReutersAt least 32 Rohingya of 8 families have freshly entered Bangladesh through Teknaf border last week.  Some families started to cross the river Naf on 19 April.   They were initially sent to Bangladesh Army’s relief camp in Sabrang union, Teknaf.Upazila senior fisheries officer Md Delwar Hossain, representing the district commissioner of Cox’s Bazar at the camp, told Prothom Alo that the Rohingya arrival had stopped for some time. But as the remaining Rohingyas face food shortage and restricted movement in Myanmar, they are compelled to come into Bangladesh afresh. The relatives of the newly arrived refugees entered Bangladesh earlier.They were sheltered in Noyapara Rohingya camp, he added.Though Bangladesh has signed a Rohingya repatriation deal with Myanmar on November last year,  Rohingya’s are still arriving intermittently.  In another move on February, Bangladesh handed over an initial list of 8032 refugees to be repatriated to Myanmar at a home minister level meeting in Dhaka. More than seven hundred thousand Rohingyas arrived in Bangladesh since 25 August last year in the face of severe persecution in Myanmar.Immigration and passport department’s deputy director Abu Noman Muhammad Zakir Hossain told Prothom Alo that, a total of 1,1 09,864 new and old registered Rohingyas were staying in different camps of Ukhiya and Teknaf upazila.last_img read more

first_imgPrime minister Sheikh Hasina speaking in parliamentPrime minister Sheikh Hasina on Wednesday said the government would take step very quickly for bringing the private educational institutions under monthly pay order (MPO) in accordacne with the MPO policy-2018.She said this while replying to a question from Jatiya Party member of parliament Fhakrul Imam in the house during the prime minister’s question-answer session.The present government during its second tenure has brought a total of 137,546 teachers and employees of private educational institutions under the MPO, the leader of the house said.For payment of the retirement benefit of the retired teachers and employees, she said, the government has allocated Taka 5 billion seed money in the year 2016-2017 fiscal year.The government also has given an one-time lump allocation of Taka 100 crore in the year 2016-2017 and Taka 150 crore in the last fiscal year, added the prime minister.For the welfare trust of the teachers, the prime minister said the government allocated Taka 1 billion crore during the last two fiscal years and so far 82,400 retired teachers and employees were given Taka 12.65 billion from the trust fund.The prime minister said teachers in private school and colleges are being recruited by Non-Government Teachers Registration and Certification Authority (NTRCA).Sheikh Hasina said the government has adopted the fourth phase of Primary Education Development Programme (PEDP) at an estimated cost of Taka 383.97 billion for the period July 2018-June 2023 for quality improvement of the primary education.Under the programme the prime minister said current curriculum of preprimary and primary would be corrected and teaching-learning educational components would be supplied in all schools and a total of 61,166 teachers would be recruited.Under the PEDP (4th phase) programme, 65,000 teachers would be provided leadership training while 20,000 teachers would be given ICT training and 130,000 teachers would be given training on English course through British Council.last_img read more

Students Organize Massive March For Our Lives Rally In Houston

first_imgLaura IsenseeMore than a dozen students gathered this week to make signs for the local March for Our Lives rally, which could draw upwards of 10,000 students.Thousands of teenagers are planning to rally in downtown Houston for stricter gun laws Saturday, joining the national movement called March for Our Lives and marking what could be the largest such student protest in Texas.Sixteen-year-old Paige Cromley said that school shootings have made headlines most of her life, even before she was born. So when students in Parkland, Florida, declared they would put a stop to school shootings, she was inspired.“The students want action,” Cromley said.Since then, Cromley has helped organize the local March for Our Lives rally.First, she took it over from a teacher and since then, student organizers have developed several committees to work on different strategies. They’ve drawn student representatives from more than 80 schools, including middle schools, universities, private schools and various districts. Cromley herself is in tenth grade at the John Cooper School in The Woodlands. “We’ve had enough of these people in power telling us nothing can be done when clearly it can be. In other countries, things aren’t like this. We want positive comprehensive action, we’re tired of just thoughts and prayers,” she said.Cromley said that students have used text messages and social media to organize — though adults have helped with legal details and permitting.Laura IsenseeAs about two dozen students gathered to organize for a massive student rally for stricter gun laws, more than half of them said they’ve faced pushback from their school administrations. Cromley announced that Houston Mayor Sylvester Turner would be joining before she headed off to fundraise.Madeline Lake, who is 16 and attends Conroe High School, said that they’ve drawn support from both Democrats and Republicans.“The message is all the same,” Lake said. “We don’t want our children dying in our schools anymore or being injured. And we shouldn’t let the political parties determine that. Scientists identify oldest wood specimens

first_img(PhysOrg.com) — Researchers studying two fossilized plants, one from New Brunswick, Canada, the other from France have been identified as being 397 and 407 million years old respectively. Both are believed to be the oldest known examples of wood, predating previously found specimens by ten million years. Lead researcher Philippe Gerrienne, of Belgium, and his team have published the results of their research in Science. © 2011 PhysOrg.com The New Brunswick sample was found by co-author Patricia Gensel, who brought it back to the University of North Carolina where she is a professor of paleobotany. The fossil remained on the shelf apparently for several years before it was included in a study being led by Gerrienne, (research associate and lecturer at the University of Liege) of the plant specimen found in France.The two specimens are believed to be not just the earliest examples of wood found, but actual samples of wood in its earliest form of existence. Both plants were very small, just 20 centimeters tall (with stems just 12 centimeters tall and 3 to 5 centimeters wide) and were a type of herb.After studying cross sections of the plants, the researchers have theorized that wood did not evolve as a means to allow plants to grow taller as has been widely assumed, but to allow for the more efficient transfer of water and nutrients from the soil to the rest of the plant. They say they believe this is so because of the way that cells are arranged in the cores of the stems, and even more so because of the existence of long thin cells that grow across several rings, extending like rays from the middle to outer edges of the stems; both are reminiscent of modern trees. The presence of thick walled cells adds to the evidence. Because these structures were in place in very small plants, it’s hard to argue that they evolved to allow for more height.The authors suggest that because these plants were living in a time (the early Devonian age – 407 to 397 million years ago) when the amount of carbon dioxide in the air was decreasing (which reduced water-use efficiency) they were forced into coming up with something quick to survive; hence, the development of wood.The plants discovered are believed to be the ancestors of modern trees, the wood that evolved to help in nourishment wound up having the side benefit of allowing the trees to grow into the comparatively mammoth specimens found around the planet today.
